TERMS OF SERVICE AND USER AGREEMENT

1. PREAMBLE AND ACCEPTANCE OF TERMS

Welcome to ArkoTools. By accessing, browsing, or shopping on this website (the "Site"), you (the "User," "Customer," or "You") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

These Terms constitute a legally binding agreement between you and Novustra LLC, a Limited Liability Company registered in the United States ("Novustra," "We," "Us," or "Our").

ArkoTools is a wholly-owned subsidiary store and digital storefront property of Novustra LLC. All products, content, and services provided on or through the ArkoTools website are legally owned, operated, and controlled by Novustra LLC. All rights, title, and interest in and to the Site and its contents are strictly reserved by Novustra LLC.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THIS SITE AND DO NOT PURCHASE ANY PRODUCTS.

2. DEFINITIONS AND INTERPRETATION

To ensure clarity and prevent ambiguity, the following terms shall have the meanings defined below:

  • "Service" refers to the website ArkoTools.com and all related services, including the sale of digital goods, customer support, and newsletter communications.
  • "Digital Product" or "Item" refers to the intangible computer files sold on the Site, specifically including but not limited to complete, ready-to-sell digital product packages, templates, bundles, graphics, and commercial assets designed for e-commerce store owners.
  • "Device" refers to the hardware used to access the Service, such as a computer, tablet, or smartphone.
  • "Content" refers to all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code contained on the Site.

3. NATURE OF PRODUCTS: DIGITAL DELIVERY ONLY

3.1. Exclusively Digital Inventory You acknowledge and agree that ArkoTools sells exclusively digital products. We do not sell, manufacture, warehouse, or distribute any physical goods.

3.2. No Shipping Policy WE DO NOT SHIP PHYSICAL PRODUCTS TO YOUR ADDRESS. Because our inventory is entirely digital, there is no physical shipping involved in any transaction on this Site.

  • Any request for a "Shipping Address" during checkout is solely for billing verification (AVS) and tax compliance purposes.
  • You will never receive a package, parcel, or physical mail from Novustra LLC.
  • Order fulfillment is completed electronically via email or direct download link.

3.3. Technical Requirements It is your sole responsibility to ensure you have the necessary hardware, software, and knowledge to use our Digital Products.

  • Software: You must have the appropriate software to open, extract (e.g., unzip), and edit standard digital file formats (such as .zip, .pdf, .png, or specific template formats).
  • Platform Compliance: If you intend to sell these products on third-party platforms like Etsy or Gumroad, it is your responsibility to understand and comply with their specific listing and seller requirements.
  • Knowledge: You acknowledge that you possess the basic technical and business knowledge required to manage digital files and operate your own e-commerce storefront.

4. STRICT NO REFUND AND NO RETURN POLICY

ALL SALES ARE FINAL.

Due to the irrevocable nature of digital goods and the commercial licensing attached to them, Novustra LLC does not offer refunds, returns, or exchanges once a purchase has been completed and the download link has been generated.

4.1. Immediate Consumption By clicking "Pay Now" or "Complete Order," you consent to the immediate performance of the contract (delivery of the download link). You acknowledge that once the digital file is made available to you, the service is considered "consumed," and you lose any right of withdrawal or cancellation that might otherwise apply to physical goods.

4.2. Exceptions (Sole Discretion) While our policy is "No Refunds," we may, at our sole and absolute discretion, consider a refund or store credit only in the following limited circumstances:

  • Duplicate Purchase: You accidentally purchased the exact same product twice using the same email address.
  • Technical Fault: The file provided by us is technically corrupted on our server and cannot be fixed or replaced by our support team. This does not cover your inability to open standard files due to lacking the proper basic software.

Novustra LLC reserves the right to deny any refund request that does not meet these specific criteria.

5. INTELLECTUAL PROPERTY AND COMMERCIAL LICENSE GRANT

When you purchase a Digital Product from ArkoTools, you are purchasing a commercial license to use and resell the assets as defined below. You are not purchasing the exclusive copyright to the original master files.

5.1. Rights Reserved by Novustra LLC All original intellectual property rights and copyrights to the source files remain the property of Novustra LLC. The purchase of a license grants you specific commercial usage rights but does not transfer full ownership or copyright of the master files to you.

5.2. Permitted Uses (Commercial Resale License) You MAY:

  • Resell the digital products as finished goods to end-consumers on your own personal e-commerce storefronts (e.g., Etsy, Gumroad, Shopify, personal website).
  • Modify, rebrand, customize, and edit the templates or products to fit your specific brand and target audience prior to sale.
  • Bundle the products with other digital items you sell to end-consumers.

5.3. Prohibited Uses (License Restrictions) You MAY NOT:

  • Distribute Master Resell Rights (MRR) or Private Label Rights (PLR): You may not sell, license, or distribute the products in a way that allows your buyers to resell them. The products you sell must be for the end-consumer's personal use.
  • Compete Directly: You may not market or sell these files as a "business in a box," "store starter kit," or "PLR bundle" to other e-commerce sellers in direct competition with ArkoTools.
  • Claim Copyright: You may not claim original copyright or attempt to trademark the unmodified files or templates as your own exclusive intellectual property.
  • Free Distribution: You may not upload the files to free file-sharing websites, torrents, or distribute them freely as lead magnets in their unmodified state.

Violation of this section constitutes copyright infringement and a material breach of these Terms. Novustra LLC reserves the right to terminate your license immediately and pursue legal action for damages.

6. USER ACCOUNTS AND SECURITY

To access certain features of the Site or to manage your downloads, you may be required to create an account.

6.1. Accuracy of Information You agree to provide accurate, current, and complete information during the registration and checkout process. You are strictly prohibited from using false identities or impersonating any person or entity.

6.2. Account Security You are responsible for maintaining the confidentiality of your account credentials (username and password). You agree to notify Support@ArkoTools.com immediately of any unauthorized use of your account. Novustra LLC will not be liable for any loss or damage arising from your failure to protect your account information.

7. PAYMENT TERMS AND TAXES

7.1. Payment Processing We use third-party payment processors (such as Shopify Payments, Stripe, or PayPal) to bill you. The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor in addition to these Terms. We are not responsible for errors by the Payment Processor.

7.2. Currency All prices posted on the Site are in United States Dollars (USD) unless otherwise stated. If you are purchasing from outside the United States, your bank or credit card company may apply a currency conversion rate and/or foreign transaction fees, for which we are not responsible.

7.3. Taxes You are responsible for paying all fees and applicable taxes associated with the Service in a timely manner with a valid payment method.

  • Sales Tax/VAT: Novustra LLC is required by law to collect sales tax or Value Added Tax (VAT) on digital goods in certain jurisdictions. This tax is calculated based on the billing address or IP address you provide and is added to the total price at checkout.

8. PROHIBITED CONDUCT

In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the Site or its Content:

  • For any unlawful purpose.
  • To solicit others to perform or participate in any unlawful acts.
  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances.
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others.
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
  • To submit false or misleading information.
  • To upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service.
  • To collect or track the personal information of others.
  • To spam, phish, pharm, pretext, spider, crawl, or scrape.
  • To interfere with or circumvent the security features of the Service.

We reserve the right to terminate your use of the Service for violating any of the prohibited uses.

9. DISCLAIMER OF WARRANTIES

THE SERVICE AND ALL PRODUCTS AND CONTENT INCLUDED ON THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Novustra LLC specifically disclaims any and all warranties, including, but not limited to:

  • Any warranties concerning the availability, accuracy, appropriateness, reliability, timeliness, or usefulness of the content of the Site.
  • Any warranties regarding business success, sales volume, or profitability resulting from the use or resale of our products.
  • Any warranties of title, warranty of non-infringement, warranties of merchantability, or fitness for a particular purpose.

We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

10. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOVUSTRA LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND.

This includes, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, account suspensions on third-party platforms, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. INDEMNIFICATION

You agree to indemnify, defend and hold harmless Novustra LLC and our parent, subsidiaries (including ArkoTools), affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party (including platform policy violations on Etsy, Gumroad, etc.).

12. SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

13. TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

14. ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

15. GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, where Novustra LLC is registered, without regard to principles of conflicts of law. You agree to submit to the exclusive jurisdiction of the courts located within that state for the resolution of any disputes.

16. CHANGES TO TERMS OF SERVICE

You can review the most current version of the Terms of Service at any time on this page. We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
